TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern access to the Dominion Loom website and the purchase, booking, and use of professional services offered by Dominion Loom.
Please read these Terms carefully before purchasing or authorizing any service.
Nothing in these Terms is intended to exclude, restrict, or waive any consumer or other legal right that cannot lawfully be excluded or waived.
1. Website Operator & Applicability
Dominion Loom is an independent digital services brand operated by Gabriela Jimenez in Mexico (“Dominion Loom,” “we,” “us,” or “our”).
These Terms apply, as relevant, to:

visitors using the Dominion Loom website;
-
prospective clients submitting inquiries;
-
clients booking or purchasing services;
-
clients approving proposals or project scopes;
-
clients authorizing Dominion Loom to begin work; and
-
ongoing or recurring service relationships.
Website-use provisions apply when accessing or using the website.
Service and payment provisions apply when a Client purchases, books, approves, or authorizes the corresponding service.
2. Acceptance of Terms
By booking or purchasing a service, approving a proposal, submitting payment, checking an acceptance box, or expressly authorizing Dominion Loom to begin work, the Client acknowledges that they have read and agree to these Terms and any applicable service-specific conditions.
Where a Client purchases services on behalf of a company, organization, brand, or other entity, the Client represents that they have authority to act on behalf of that entity.
3. Eligibility
To purchase or contract Dominion Loom services, you must have the legal capacity to enter into a binding agreement under the laws applicable to you.
Dominion Loom services may not be used for purposes prohibited by applicable law.
Dominion Loom reserves the right to decline an inquiry or project where the requested work would create a material legal, security, ethical, or operational concern.
4. Services
Dominion Loom provides professional digital, creative, branding, visibility, website, content, and business-presence services.
Services may include, without limitation:

Website Design;
-
Brand Identity;
-
Professional SEO;
-
Google Business Authority Weaving;
-
Social Authority Loom;
-
Content Distinction Loom;
-
Commanding Visual Presence;
-
Ongoing Digital Stewardship;
-
Extended Digital Enhancements;
-
consultations;
-
audits;
-
strategic services; and
-
custom digital projects.
Availability and scope may vary.
5. Service Descriptions
Each service is governed by the description, package, proposal, invoice, booking confirmation, written project scope, or other documentation applicable to that specific engagement.
A general reference to a type of service does not mean that every possible feature or deliverable associated with that service is included.
Only expressly included deliverables form part of the agreed project scope.
6. Service & Pricing Changes
Dominion Loom may introduce, modify, replace, restructure, discontinue, or change future:
-
services;
-
packages;
-
pricing;
-
features;
-
deliverables;
-
timelines; and
-
availability.
Changes to advertised pricing or packages apply prospectively.
They do not alter the agreed price or scope of a project that has already been formally booked and paid for unless Dominion Loom and the Client agree to a modification.
Dominion Loom may correct genuine typographical, technical, descriptive, or pricing errors appearing on the website before a transaction or project agreement is finalized.

7. Availability
Service availability is not guaranteed until the applicable booking requirements have been completed.
Submitting an inquiry, requesting information, attending a consultation, completing a questionnaire, or discussing potential dates does not independently reserve production time.
Dominion Loom may limit the number of active projects accepted at any time.
8. Project Reservation
Unless otherwise stated for the selected service, a project is reserved only after the required initial payment has been successfully received.
Once the project is reserved, Dominion Loom may allocate production capacity and begin preparatory work related to the engagement.
9. One-Time Project Payments
Unless otherwise stated for the selected service, one-time projects are paid as follows:
70% Initial Payment
A 70% initial payment is required to reserve the project and authorize Dominion Loom to begin the development process.
30% Final Payment
The remaining 30% balance is due before final delivery, publication, transfer, handoff, release of final files, or other final project materials, as applicable to the service.
Dominion Loom may withhold final deliverables, publication, transfer, handoff, or the transfer of applicable ownership rights until the outstanding balance has been paid in full, to the extent permitted by applicable law.
10. Full-Payment Services
Certain services require 100% payment in advance, as specified at the time of booking.
This may apply to:
-
consultations;
-
smaller services;
-
digital enhancements;
-
audits;
-
add-on services;
-
designated packages; or
-
other services expressly identified as prepaid.
Work will not begin until the required payment has been successfully received.
Unless otherwise stated, services paid in full in advance are subject to the applicable cancellation and refund provisions of these Terms.
11. Monthly Payment Terms
Monthly and recurring services require 100% payment in advance for each service period.
Payment must be successfully received before work for the applicable service period begins.
Each service period includes only the services, work, deliverables, or allocations expressly included in the selected monthly plan.
Unless otherwise stated:
-
monthly services are not unlimited;
-
unused work, services, hours, or allocations do not roll over to future periods;
-
unused allocations have no cash value and cannot be exchanged for other services;
-
work exceeding the scope of the selected monthly plan will be quoted separately; and
-
failure to complete the required payment may result in suspension of services for that period.
Payment for an applicable service period may be eligible for refund if cancellation occurs before any work for that period has begun, subject to the cancellation and refund provisions of these Terms and applicable law.
Once work for a service period has begun, payment for that period is non-refundable except where required by applicable law.
Where automatic recurring billing is enabled, billing will continue according to the agreed billing cycle until cancellation becomes effective. Where payment is made manually, Dominion Loom is not required to begin a new service period until payment has been received.
12. Currency
Prices will be charged in the currency displayed or otherwise agreed for the relevant service.
The Client's bank, card issuer, payment provider, or financial institution may independently apply:
-
currency conversion;
-
foreign transaction charges;
-
intermediary banking fees;
-
card fees; or
-
other processing charges.
Such independently imposed charges are outside Dominion Loom's control.
13. Taxes
Applicable taxes will be charged or handled as required by law.
The Client remains responsible for taxes or governmental charges lawfully imposed directly upon the Client in connection with the transaction.
14. Payment Processing
Payments may be processed through independent payment processors, financial institutions, or payment platforms made available by Dominion Loom.
The Client represents that they are authorized to use the payment method submitted.
Dominion Loom does not control the independent policies, technical systems, exchange rates, banking delays, or processing requirements of third-party payment providers.
15. Project Commencement
An advertised or estimated production timeframe does not necessarily begin on the date payment is submitted.
The production timeframe begins when Dominion Loom has received the items reasonably necessary to perform the project, which may include:
-
required payment;
-
completed questionnaire;
-
project brief;
-
written copy;
-
photographs;
-
logos;
-
brand materials;
-
account credentials;
-
domain information;
-
platform access;
-
approvals;
-
technical information; and
-
other requested project materials.
16. Estimated Timelines
Unless expressly guaranteed in writing, project timelines are estimates rather than absolute completion guarantees.
Timelines may be affected by:
-
project complexity;
-
Client response time;
-
revision rounds;
-
Additional Work;
-
Client-requested changes;
-
technical dependencies;
-
third-party platforms;
-
late materials; or
-
circumstances reasonably outside Dominion Loom's control.
17. Business Days
Where a project timeframe is stated in business days, weekends and applicable public holidays are not counted unless expressly stated otherwise.
18. Client Responsibilities
The Client is responsible for providing accurate and complete information reasonably required for the project.
This may include:
-
business information;
-
service descriptions;
-
contact information;
-
prices;
-
written copy;
-
photographs;
-
logos;
-
brand materials;
-
credentials;
-
domain access;
-
platform access;
-
product information;
-
approvals; and
-
feedback.
The Client remains responsible for reviewing factual information supplied to Dominion Loom.
19. Client Communication
The Client must maintain a reasonably accessible method of communication during an active project.
Dominion Loom may rely on approvals, instructions, or decisions communicated through the project's established written communication channels.
Clients should communicate material project changes in writing.
20. Client Response Times
Projects require timely Client cooperation.
If Dominion Loom requests content, credentials, approval, clarification, feedback, or another necessary project item, work may be paused until the required response is received.
Client-caused delays automatically extend the estimated project timeline.
21. Project Pauses
Dominion Loom may place a project on hold where work cannot reasonably continue because:
-
required materials are outstanding;
-
Client feedback is outstanding;
-
access has not been provided;
-
required payment is overdue;
-
the Client requests a pause; or
-
another Client-controlled dependency prevents progress.
Once the issue is resolved, the project will return to production according to Dominion Loom's then-current availability.
The original delivery estimate may no longer apply.
22. Dormant Projects
A project may be designated Dormant where the Client has failed to respond or provide materials necessary for continuation for 30 consecutive calendar days.
Dormant projects may be removed from the active production schedule.
Resumption will depend on current production availability.
23. Abandoned Projects
If there has been no meaningful Client response for 60 consecutive calendar days, Dominion Loom may classify the project as Abandoned and close the active project file.
Resumption of an Abandoned project may require:
-
confirmation of current requirements;
review of the remaining scope; -
payment of outstanding balances;
-
adjustment to current pricing where new work is required;
-
updated technical work; and
-
a reasonable reactivation fee communicated before work resumes.
24. Revision Rounds
The number of revision rounds included in a project is determined by the selected service or written project scope.
A revision is a reasonable adjustment to work already presented while maintaining the previously established project direction.
Examples may include reasonable changes to:
-
typography;
-
spacing;
-
positioning;
-
color;
-
wording;
-
image selection; or
-
comparable design details.
25. What Is Not a Revision
A revision does not include an entirely new project direction or a material expansion of the original scope.
Requests that substantially change an approved concept, structure, strategy, functionality, aesthetic, audience, or project objective may constitute a Change of Direction.
26. Change of Direction
A Change of Direction may include:
-
replacing an approved visual concept;
-
substantially restructuring a website;
-
changing the principal aesthetic after development;
-
replacing an approved branding direction;
-
changing the target market after strategic work has begun;
-
requesting additional functionality;
-
substantially replacing approved content; or
-
materially changing the original project brief.
A Change of Direction may require Additional Work, additional payment, and a revised timeline.
27. Unused Revisions
Unless expressly stated otherwise, unused revision rounds:
-
are not refundable;
-
have no cash value;
-
cannot be transferred to another project;
-
cannot be exchanged for another service;
-
do not become additional deliverables; and
-
do not accumulate indefinitely.
28. Additional Work
A request beyond the agreed project scope is considered Additional Work.
Additional Work may include:
-
additional website pages;
-
additional concepts;
-
additional revision rounds;
-
additional designs;
-
new integrations;
-
new functionality;
-
extra copywriting;
-
additional SEO;
-
additional platform work;
-
new image preparation;
-
redesign after approval;
-
additional meetings;
-
expedited work; or
-
any other service not included in the original scope.
Additional chargeable work will not begin without Client authorization.
29. Additional Work Pricing
Additional Work may be priced:
-
individually;
-
by project;
-
by service;
-
by additional package; or
-
according to another quotation agreed with the Client.
An Additional Work request may also extend the project completion timeframe.
30. Pre-Development Cancellations
If the Client cancels before substantive project work begins, Dominion Loom will determine what portion of the payment, if any, remains refundable after accounting for amounts lawfully earned or committed, including where applicable:
-
consultations;
-
planning;
-
administrative preparation;
-
research;
-
production capacity reasonably reserved;
-
non-recoverable external expenses; and
-
work already performed.
Mandatory rights provided by applicable consumer law remain unaffected.
31. Cancellation After Work Begins
Once substantive project work has begun, the Client remains responsible for the value of work already performed and authorized project expenses reasonably incurred.
Where cancellation occurs before completion, any refund or outstanding balance may be determined according to:
-
work completed;
-
project stage;
-
deliverables already supplied;
-
Additional Work;
-
external expenses; and
-
applicable mandatory law.
Cancellation does not automatically entitle the Client to receive incomplete working files, rejected concepts, internal materials, or unfinished deliverables.
32. Cancellation After Final Approval
Once the Client has:
-
approved final work;
-
authorized publication;
-
requested launch;
-
accepted final deliverables;
-
authorized transfer; or
-
otherwise confirmed project completion,
the applicable work will normally be regarded as completed.
Payments for completed and accepted work are not refundable except where required by law or expressly agreed otherwise in writing.
33. Monthly Service Cancellation
A Client may request cancellation of a monthly service before the beginning of a future billing period.
Cancellation applies prospectively.
Cancellation does not retroactively cancel services already performed during the current service period.
A cancelled monthly service may be restarted subject to:
-
current availability;
-
current pricing;
-
current scope; and
-
any applicable onboarding requirements.
34. Refund Processing
Where a refund is due, Dominion Loom will ordinarily return it through an available method reasonably compatible with the original payment method.
Dominion Loom is not responsible for processing delays imposed by:
-
banks;
-
card issuers;
-
payment processors; or
-
other financial institutions.
35. Client-Supplied Materials
The Client represents that they possess the rights, authorization, license, consent, or other lawful basis necessary to use materials supplied to Dominion Loom.
This may include:
-
photographs;
-
illustrations;
-
logos;
-
trademarks;
-
videos;
-
fonts;
-
written content;
-
testimonials;
-
music;
-
graphics;
-
personal data;
-
customer information; and
-
other intellectual property.
Dominion Loom may refuse to use material that reasonably appears unlawful, fraudulent, infringing, deceptive, or unauthorized.
36. Client-Supplied Information
The Client is responsible for the accuracy and legality of business claims, service descriptions, qualifications, prices, testimonials, statements, or factual information supplied for publication.
Dominion Loom is not responsible for independently verifying every factual representation supplied by the Client unless verification is expressly included in the contracted service.
37. Client Indemnification
To the extent permitted by applicable law, the Client agrees to be responsible for third-party claims, damages, or reasonable costs arising directly from Client-supplied materials, representations, instructions, or content where the Client lacked the necessary rights, consent, authorization, or lawful basis for their use.
This may include claims involving Client-supplied:
-
copyrights;
-
trademarks;
-
photographs;
-
written materials;
-
personal information; or
-
other protected content.
This provision does not apply to the extent that a claim results from Dominion Loom's own unauthorized conduct, negligence, or breach of its obligations.
38. Intellectual Property
Rights relating to final project deliverables are determined by the applicable service description, proposal, project agreement, and applicable intellectual-property law.
Unless expressly agreed otherwise, any agreed transfer or license of final original work becomes effective only once Dominion Loom has received full payment for the relevant project.
39. Dominion Loom Intellectual Property
Dominion Loom retains ownership of pre-existing and proprietary materials that are not expressly transferred to the Client.
These may include:
-
internal processes;
-
systems;
-
frameworks;
-
methodologies;
-
workflows;
-
reusable components;
-
templates;
-
internal documentation;
-
development techniques;
-
strategic methods;
-
know-how; and
-
proprietary business materials.
40. Drafts & Rejected Concepts
Preliminary work not selected as a final deliverable remains the property of Dominion Loom unless otherwise agreed in writing.
This may include:
-
drafts;
-
alternative concepts;
-
unused designs;
-
rejected branding directions;
-
mockups;
-
experiments;
-
preliminary layouts;
-
internal development files; and
-
working documents.
Purchasing a final deliverable does not automatically transfer ownership of every concept produced during development.
41. Source & Working Files
Editable, layered, source, development, or working files are included only where expressly stated in the applicable package or written agreement.
Delivery of a completed design does not automatically include every internal file used during its creation.
Third-party assets contained within source files remain governed by their respective licenses.
42. Third-Party Intellectual Property
Fonts, photographs, stock media, software, applications, plugins, templates, code libraries, and other third-party assets remain governed by the licensing terms of their respective owners.
The Client may be required to maintain or purchase an applicable third-party license for continued lawful use.
43. Trademark & Name Clearance
Unless expressly contracted as a specialized legal service, Dominion Loom does not provide legal trademark clearance or guarantee that:
-
a business name;
-
brand name;
-
logo;
-
slogan;
-
domain;
-
design element; or
-
other brand asset
is legally available for registration or use in every jurisdiction.
The Client is responsible for obtaining appropriate legal trademark or intellectual-property advice where necessary.
44. Portfolio & Promotional Use
Unless confidentiality has been expressly agreed in writing, Dominion Loom may display completed or publicly released project work for legitimate portfolio and self-promotional purposes.
This may include:
-
the Dominion Loom website;
-
professional portfolios;
-
social media;
-
case studies;
-
presentations;
-
professional directories;
-
promotional materials; and
-
industry submissions.
Clients requiring complete confidentiality should request this before development begins.
45. Confidential Information
Dominion Loom will use reasonable care when handling non-public Client information received for a project.
Confidential information may include:
-
account credentials;
-
passwords;
-
unpublished brand materials;
-
internal business documents;
-
confidential project materials; and
-
non-public commercial information.
Confidentiality does not apply to information that:
-
is already publicly available;
-
becomes public without breach;
-
is lawfully obtained from another source;
-
was independently developed; or
-
must legally be disclosed.
46. Account Credentials
Where available, Clients should provide collaborator, administrator, delegated, temporary, or role-based access rather than unnecessary personal master passwords.
Dominion Loom may remove or relinquish access after project completion where continued access is unnecessary.
Clients should revoke temporary permissions or change temporary credentials following final handoff when appropriate.
47. Third-Party Platforms
Projects may depend on independent services such as:
-
Wix;
-
Google;
-
Google Business Profile;
-
domain registrars;
-
hosting companies;
-
email providers;
-
analytics services;
-
payment processors;
-
social networks;
-
plugins;
-
applications;
-
APIs;
-
stock-media providers; and
-
other digital platforms.
Dominion Loom does not control their policies, pricing, functionality, outages, algorithms, restrictions, approval processes, technical changes, or continued availability.
48. Third-Party Changes
Where a third-party platform changes its technology, policies, pricing, functionality, requirements, or integrations after or during a project, additional work required to adapt the Client's project is not automatically included.
Such work may be treated as Additional Work unless it falls within an active ongoing service that expressly covers it.
49. Third-Party Costs
Unless expressly included, the Client is responsible for third-party expenses associated with the Client's business or project.
These may include:
-
domain registration;
-
hosting;
-
Wix plans;
-
premium applications;
-
paid plugins;
-
email services;
-
paid fonts;
-
stock images;
-
licenses;
-
subscriptions;
-
advertising spend; and
-
platform fees.
Dominion Loom will not knowingly purchase a chargeable third-party service on the Client's behalf without authorization.
50. Client Account Ownership
Where reasonably practicable, permanent business assets should be held through accounts controlled by the Client.
These may include:
-
domains;
-
website subscriptions;
-
Google accounts;
-
Google Business Profiles;
-
analytics properties;
-
advertising accounts; and
-
other long-term business platforms.
Dominion Loom may require temporary administrative access to perform the contracted service.
51. Website Design
Website Design services cover only the pages, functionality, images, integrations, revisions, and other deliverables expressly included in the selected package.
Additional pages, features, integrations, advanced functionality, copywriting, e-commerce features, booking systems, multilingual implementation, or other functionality are not included unless expressly stated.
52. Responsive Design & Browser Display
Dominion Loom may design websites to adapt reasonably across modern screen sizes and supported environments relevant to the project.
Exact appearance may vary according to:
-
device;
-
browser;
-
operating system;
-
screen dimensions;
-
browser settings;
-
platform updates; and
-
user configuration.
Pixel-identical display across every possible device or browser is not guaranteed.
Support for obsolete or unsupported technology is not included unless expressly agreed.
53. Website Launch & Handoff
A website project may be considered complete when the agreed scope has been completed and the website has been, as applicable:
-
approved;
-
published;
-
launched;
-
transferred;
-
handed off; or
-
made available for final acceptance.
Ongoing maintenance is not included unless expressly purchased.
54. Client Changes After Delivery
Dominion Loom is not responsible for problems resulting from changes made after delivery by:
-
the Client;
-
another designer;
-
another developer;
-
another agency;
-
a contractor;
-
an employee; or
-
another third party.
This may include:
-
broken layouts;
-
deleted content;
-
damaged integrations;
-
SEO changes;
-
lost functionality;
-
altered settings; or
-
other technical problems.
-
Repair work may be quoted separately.
55. Backups & File Retention
Following final delivery, the Client is responsible for maintaining appropriate copies and backups of final materials and Client-controlled digital assets.
Dominion Loom is not required to retain project working files indefinitely unless an ongoing storage or maintenance service has been expressly agreed.
56. SEO Services
SEO services are intended to improve agreed technical, structural, content, relevance, discoverability, or visibility factors.
Search engines independently determine:
-
crawling;
-
indexing;
-
rankings;
-
visibility;
-
search-result presentation; and
-
algorithmic evaluation.
Dominion Loom does not guarantee:
-
a #1 ranking;
-
first-page placement;
-
a specific position;
-
a specific traffic level;
-
a specific number of leads;
-
revenue;
-
conversions;
-
permanent rankings; or
-
indexing of every page.
57. Google Business Services
Where Dominion Loom provides services involving Google Business Profile or related Google products, final decisions remain under Google's independent systems and policies.
Dominion Loom cannot guarantee:
-
verification;
-
approval;
-
eligibility;
-
ranking;
-
visibility;
-
reinstatement;
-
continued publication; or
-
resolution of a suspension.
Additional work resulting from future platform actions may require a separate service.
58. Social Authority & Third-Party Social Platforms
Social-media-related services do not guarantee:
-
follower growth;
-
specific reach;
-
engagement;
-
virality;
-
platform approval;
-
uninterrupted account access;
-
algorithmic distribution; or
-
commercial results.
Social platforms retain independent control over their systems and policies.
59. Content Services
Content services include only the quantity, type, research, writing, editing, formatting, or optimization expressly included in the selected service.
Unless expressly included, Dominion Loom is not responsible for legal, medical, financial, regulatory, or other specialized professional verification of Client content.
60. Business Results
Dominion Loom provides professional creative and digital services.
Dominion Loom does not guarantee a specific commercial outcome.
Business performance may depend on factors outside Dominion Loom's control, including:
-
market demand;
-
competition;
-
Client pricing;
-
reputation;
-
sales process;
-
advertising;
-
product quality;
-
economic conditions;
-
search algorithms;
-
consumer behavior; and
-
third-party platforms.
61. Final Client Review
The Client is responsible for reviewing final work before approval, publication, printing, transfer, or launch.
The Client should verify, where relevant:
-
names;
-
spelling;
-
prices;
-
telephone numbers;
-
addresses;
-
contact information;
-
links;
-
dates;
-
images;
-
business claims;
-
service information; and
-
other factual content.
Client approval represents acceptance of the work presented at that project stage.
62. Post-Completion Support
Post-completion support is included only where the selected package expressly provides it.
Once an included support period ends, new requests may constitute Additional Work.
Post-completion support does not automatically include:
-
redesign;
-
new content;
-
new functionality;
-
third-party platform problems;
-
new integrations;
-
Client-created problems; or
-
future platform changes.
63. Ongoing Digital Stewardship
Ongoing Digital Stewardship and other recurring services provide only the work specified for each active service period.
Recurring service does not create an unlimited obligation to redesign, repair, update, manage, or support every aspect of the Client's digital presence.
Requests beyond the selected plan remain subject to Additional Work.
64. Payment Disputes & Chargebacks
If the Client believes a payment is incorrect, the Client is encouraged to contact Dominion Loom promptly so the matter can be reviewed.
Nothing in these Terms removes a lawful right to challenge an unauthorized or improper transaction.
Where a payment dispute or chargeback is fraudulent, inaccurate, or inconsistent with services properly authorized and performed, Dominion Loom may provide relevant evidence to the applicable financial institution or payment processor.
Evidence may include:
-
booking information;
-
invoices;
-
payment records;
-
communications;
-
Client approvals;
-
project documentation;
-
delivery records; and
-
accepted terms.
65. Late, Failed or Reversed Payments
If a required payment is overdue, declined, reversed, or otherwise not successfully completed, Dominion Loom may suspend further work until the payment issue is resolved.
The project may consequently lose its previous place in the production schedule.
Final deliverables may be withheld while an undisputed balance remains outstanding where legally permitted.
66. Suspension of Services
Dominion Loom may reasonably suspend work where:
-
payment is overdue;
-
required information is not supplied;
-
required access has been revoked;
-
the Client materially breaches the agreement;
-
continuation creates a material security or legal risk; or
-
circumstances controlled by the Client prevent reasonable performance.
-
Where reasonably possible, Dominion Loom will communicate what is required before work resumes.
67. Right to Refuse or Terminate Service
Subject to applicable law, Dominion Loom may refuse or terminate an engagement involving:
-
fraudulent activity;
-
illegal activity;
-
infringement of third-party rights;
-
harassment;
-
abusive conduct;
-
deliberate misrepresentation;
-
repeated non-payment;
-
serious security concerns; or
-
material breach of the agreement.
-
Any financial reconciliation following termination will take into account work already completed, outstanding obligations, applicable expenses, and mandatory legal rights.
68. Website Misuse
Visitors may not knowingly use the Dominion Loom website in a manner intended to:
-
interfere with its operation;
-

infringe intellectual-property rights; or

engage in unlawful conduct.
Dominion Loom may take reasonable technical or legal measures to protect the website and its users.
69. Dominion Loom Website Content
Unless otherwise stated, the Dominion Loom name, website design, original written content, graphics, branding, imagery, proprietary materials, and other original website content are owned by or lawfully licensed to Dominion Loom.
Website visitors are not granted ownership rights by accessing the site.
Content may not be reproduced, commercially exploited, republished, or presented as another party's work without permission or another lawful basis.
70. Professional Judgment
The Client engages Dominion Loom for professional creative and digital services.
Client feedback remains important, but Dominion Loom retains reasonable professional discretion regarding:

implementation;

design practices;
-
workflow;
-
production methods;
-
technical methods; and
-
professional standards,
unless a particular method has been expressly agreed in writing.
71. Independent Contractor Relationship
Dominion Loom performs services as an independent professional service provider.
Nothing in these Terms creates an employment relationship, partnership, joint venture, fiduciary relationship, or agency between Dominion Loom and the Client unless expressly agreed otherwise.
72. Contractors & Service Providers
Dominion Loom may use appropriate contractors, professional collaborators, or service providers where reasonably necessary to perform a project.
Where confidential Client information must be shared for that purpose, Dominion Loom will take reasonable steps appropriate to the circumstances to limit such access to what is necessary for performance.
73. Non-Exclusivity
Unless an exclusivity arrangement has been expressly agreed in writing, Dominion Loom may provide services to other businesses or professionals, including businesses operating within similar industries.
Confidential Client information and proprietary Client materials remain subject to the confidentiality provisions of these Terms.
74. Accessibility, Legal & Regulatory Requirements
Unless expressly included as a specialized service, standard Dominion Loom services do not constitute:

legal advice;
-
regulatory advice;
-
tax advice;
-
accounting advice;
-
accessibility certification; or
-
formal compliance certification.
The Client remains responsible for determining which legal notices, licenses, regulations, disclosures, accessibility standards, professional rules, or other compliance obligations apply to the Client's business.
Placing Client-provided legal language onto a website does not constitute Dominion Loom's legal approval of that language.
75. Privacy
Personal information collected through the Dominion Loom website, inquiries, forms, bookings, payments, and Client relationships is handled according to the applicable Privacy Policy / Privacy Notice.
The Privacy Policy is maintained separately from these Terms.
76. Cookies & Similar Technologies
The Dominion Loom website may use cookies and similar technologies required for website operation as well as, where enabled, analytics or other optional functions.
Further information about cookie use and available controls will be provided through Dominion Loom's Cookie Policy and, where applicable, cookie-consent tools.
77. Marketing Communications
Purchasing a Dominion Loom service does not by itself require the Client to receive optional promotional marketing where separate consent or another lawful basis is required.
Where a person voluntarily subscribes to promotional communications, they may use the available unsubscribe mechanism to stop future optional marketing communications.
Transactional or project-related communications necessary to provide a requested service are distinct from optional marketing.
78. Security
Dominion Loom will take reasonable measures appropriate to the nature of the service to protect information and credentials under its control.
No online service, website platform, email system, cloud service, payment processor, or third-party system can be represented as entirely immune from technical failures, cyber incidents, or unauthorized activity.
Both parties should maintain reasonable security practices for their respective accounts and systems.
79. Website Availability
Dominion Loom does not guarantee that the website will operate continuously or without interruption.
Temporary interruption may result from:

maintenance;
-
hosting issues;
-
infrastructure failure;
-
platform outages;
-
security measures;
-
technical problems; or
-
circumstances outside reasonable control.
80. Limitation of Liability
Nothing in these Terms excludes or limits liability where exclusion or limitation would be prohibited by applicable law.
To the extent legally permitted, Dominion Loom will not be responsible for indirect, remote, speculative, or consequential business losses arising solely from matters outside Dominion Loom's reasonable control, including:

third-party outages;

algorithm changes;
-
Client modifications;
-
unauthorized third-party activity;
-
inaccurate Client-supplied information;
-
external platform decisions; or
-
failures of independent service providers.
Any limitation will apply only to the extent permitted by applicable law.
81. No Waiver of Mandatory Consumer Rights
Nothing contained in these Terms is intended to remove, waive, reduce, or restrict a legal right that cannot lawfully be waived.
If a mandatory consumer-protection provision applicable to a particular transaction conflicts with these Terms, the mandatory legal provision will apply to the extent required.
82. International Clients
Dominion Loom may provide services to Clients located outside Mexico.
Mandatory laws applicable to a Client's particular jurisdiction may provide rights that cannot contractually be excluded.
These Terms are intended to operate subject to those mandatory protections where they lawfully apply.
83. Force Majeure
Neither party will be treated as having breached an obligation solely because performance was prevented or materially delayed by circumstances beyond that party's reasonable control.
Such circumstances may include:

natural disasters;
-
serious infrastructure failures;
-
widespread telecommunications failures;
-
major internet outages;
-
government action;
-
civil emergencies;
-
major platform outages; or
-
comparable extraordinary events.
Affected timelines may be reasonably extended.
84. Good-Faith Resolution of Concerns
If a disagreement arises concerning a project, payment, deliverable, or these Terms, the parties are encouraged to communicate promptly and attempt in good faith to resolve the matter before commencing formal proceedings, where appropriate.
Nothing in this provision prevents either party from exercising a legal right or remedy where immediate action is appropriate or required.
85. Governing Law
Except where mandatory law applicable to a particular Client provides otherwise, the contractual relationship with Dominion Loom will be governed by the applicable laws of Mexico.
Any jurisdiction or venue arrangement remains subject to rights and forums that cannot legally be waived.
86. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted, restricted, or severed only to the minimum extent necessary.
The remaining provisions will continue to apply where legally permissible.
87. No Waiver
A failure by Dominion Loom to immediately enforce a contractual right does not automatically constitute a permanent waiver of that right.
Any waiver applying to a particular matter does not automatically waive the same or another right in future circumstances.
88. Entire Agreement
For each engagement, the applicable agreement may consist of:

these Terms;
-
the selected service description;
-
the applicable proposal;
-
invoice;
-
booking confirmation;
-
written project scope;
-
Privacy Policy;
-
service-specific conditions; and
-
expressly agreed written amendments.
These materials collectively form the agreement applicable to the engagement.
89. Order of Priority
Where a specifically negotiated written project agreement expressly conflicts with these general Terms, the specifically negotiated provision will govern that particular matter.
A specific service scope governs what is included in the purchased service.
Mandatory legal provisions continue to take precedence where legally required.
90. Changes to These Terms
Dominion Loom may update these Terms from time to time.
The effective or last-updated date displayed at the beginning of the document will identify the current published version.
Changes apply prospectively and will not retroactively alter material terms of an already accepted project unless:
the Client agrees;
the change is legally required; or
applicable law otherwise permits the change.
91. Notices & Project Communications
Dominion Loom may use the contact information supplied by the Client to send communications reasonably necessary for:

bookings;
-
payments;
-
project administration;
-
approvals;
-
delivery;
-
security;
-
account access; and
-
service-related notices.
The Client is responsible for maintaining accurate contact information during an active engagement.

ACCEPTANCE OF TERMS
By booking or purchasing a Dominion Loom service, approving a proposal, submitting the required payment, checking an applicable acceptance box, or expressly authorizing Dominion Loom to begin work, you acknowledge that you have read and agree to these Terms & Conditions, together with the applicable Privacy Policy / Privacy Notice and any service-specific terms governing your project.
Where mandatory law grants rights that cannot legally be waived or restricted, those rights remain unaffected.
